Welcome to HarvestGroup360. These Master Service Terms ("Terms", "Agreement") constitute a legally binding agreement between your organization ("Client", "Institution") and HarvestGroup360 ("Company", "We"). This Agreement governs your access to our quantitative data infrastructure, APIs, and analytics terminal. By integrating with our API, accessing our data feeds, or deploying algorithms on our platform, you agree to be bound by these Terms.
Access to our WebSocket and REST APIs is strictly governed by the Service Level Agreement (SLA) outlined in your specific enterprise contract. Standard rate limits apply to all connections to prevent infrastructure degradation. Intentional circumvention of rate limits via IP rotation, unauthorized connection pooling, or distributed denial of service tactics will result in immediate suspension of API keys. Clients are expected to implement exponential backoff strategies for failed requests.
We provide cross-connect capabilities in major financial data centers (e.g., NY4, LD4). Clients utilizing cross-connects are subject to additional hardware and network compliance checks. HarvestGroup360 is not liable for latency introduced by the Client's internal network architecture or third-party ISPs.
All historical and real-time market data provided via the HarvestGroup360 infrastructure is licensed solely for internal algorithmic backtesting, quantitative trading model execution, and risk management analysis. Redistribution, reselling, sub-licensing, or public display of our data feeds to third parties is strictly prohibited unless an explicit Data Vendor License or White-Label Agreement has been executed.
Data derived from our feeds (e.g., custom indices, aggregated volume metrics) may only be distributed if it cannot be reverse-engineered to reconstruct the original raw data. Violation of these terms will result in immediate termination of data access and potential legal action for breach of intellectual property rights.
HarvestGroup360 asserts no ownership, claim, or rights over any custom algorithms, statistical models, trading logic, or machine learning weights developed by the Client using our infrastructure. Your intellectual property remains entirely confidential. All quantitative models deployed on our servers run within isolated, heavily encrypted Docker containers. HarvestGroup360 engineers and support staff do not have logical or physical access to the source code or operational logic of Client algorithms.
We reserve the right to perform scheduled maintenance on our NY4 and LD4 server clusters. We will provide a minimum of 48 hours written notice prior to any planned downtime. Emergency patches for critical vulnerabilities may be deployed without prior notice, though we strive to execute these outside of peak trading hours.
If HarvestGroup360 fails to maintain the 99.99% uptime guarantee outlined in your Enterprise SLA, you may be eligible for service credits. Downtime is calculated per calendar month. Requests for SLA credits must be submitted to our engineering team within 72 hours of the outage event. Credits will be applied to the following billing cycle. Payments made for custom API integrations and bespoke data pipeline engineering are strictly non-refundable.
While HarvestGroup360 maintains state-of-the-art cross-connects, we do not guarantee absolute zero-latency execution. Factors outside our control, including intermediary ISP routing, network congestion, and exchange-level matching engine delays, can impact order fill times. Algorithms highly sensitive to microsecond discrepancies must account for these variables.
Quantitative models rely heavily on data integrity. Despite our robust aggregation engines, raw exchange feeds may occasionally contain bad ticks, gaps, or corrupted packets. Clients are strictly advised to implement outlier detection and circuit breakers within their own trading algorithms. HarvestGroup360 shall not be liable for trading losses incurred due to data anomalies, network outages, or hardware failures.
HarvestGroup360 maintains strict institutional onboarding procedures. We do not accept retail clients. All prospective partners must undergo comprehensive corporate verification (Know Your Business). Required documentation includes Certificates of Incorporation, Legal Entity Identifiers (LEI), and identification of Ultimate Beneficial Owners (UBOs). We strictly prohibit the provision of infrastructure to any entity domiciled in heavily sanctioned jurisdictions.
